Sole in-house lawyer for 500+ employee hosted-SaaS technology company. Successfully handled increasing (6x over four years) customer closing workload, closed contracts with many of the world’s largest telecom, cable, satellite, utility, service and retail companies, and successfully closed 70+ international deals (Australia, New Zealand, Brazil, Chile, Mexico, Columbia, U.K., Belgium, Spain, France, Germany, Hungary, Romania, Singapore, Philippines, Canada). Handled in-bound licensing and legal review for channels & alliances, partners, referral sources and resellers. Key advisor to SVP–Global Sales and sales team. Reduced standard Master Services Agreement from 37 to seven pages, reducing time required to negotiate and increasing velocity to earnings while collaring risk to TOA. Part of team that created automated term sheet and approval process, responsible for creating standard terms and conditions and deviation parameters. Routinely advised HR and Talent Acquisition teams on labor and employment issues and contracts. Standardized offer letter and contracts of employment and separation/termination agreements in the US, U.K. and Australia. Significant experience handling issuance of options, warrants and Stock Appreciation Rights and managing cap table. Managed litigation including patent infringement defense in two Federal Courts, claims by patent trolls, and prosecution of two employee non-competition cases. Managed two private equity raises ($85MM+) and two refinancings of senior secured indebtedness. Managed legal side of sale of TOA to Oracle in Sept 2014. First chair for M&A, corporate governance and IP. Substantial experience with international data protection, privacy and security matters. Continuous interaction with and advice to C-level team. Corporate Secretary for TOA Board, including routine interaction with three large Silicon Valley IP venture capital investment funds.
