Specialized in partnership tax issues, real estate transactions and compliance. Supervised approximately 6 seniors and 15 staff in the Real Estate Unit of the Tax Department. Responsible for servicing approximately 20 different and unique clients of varying sizes. Clients included real estate developers, real estate managers, individuals, a car dealership and home builders. Experience included like-kind exchange planning, redemptions, partnership roll-ups, entity conversions, with extensive experience in real estate development startups, partnership wrap-ups and transaction pro formas.

Responsibilities included due diligence work for election to be treated as a REIT and preparation for an initial public offering. Duties also included supervision of an “Earnings & Profits” analysis of Cardinal Realty Services, Inc. from 1954 to 1998. Extensive experience calculating expected gain and payouts to consolidate interests of approximately 10,000 partners in over 300 syndicated partnerships in preparation for the public offering. Prepared pro formas of the company before and after election for REIT status, including testing requirements to qualify as a REIT. Supervised preparation and signing of partnership returns for approximately 500 properties owned or managed by the affiliated group, including over 300 final returns for the consolidated entities.

Responsible for all treasury functions including cash management, insurance and capital budgeting. Managed Accounts Payable, Job Costing and Payroll. Prepared and filed all tax returns and estimated payments of tax, including federal, state and local returns for the corporation and its shareholder. Established and administered an employee benefit plan.

Interacted with federal, state and local taxing authorities on audits, including document production, face to face negotiations, research and all correspondence. This in turn required extensive interaction with Divisional representatives, to procure documentation and determine the book and tax treatments of corporate transactions. Spent significant time on the federal large case audit, covering a three year period. Other responsibilities included capitalization of inventories compliance and maintenance of computer records under the IRS software retention agreement.

Senior responsibilities for 30 individual and corporate clients, with frequent client contact. Prepared and reviewed individual, corporate, partnership, tax exempt organization and other returns. Office coordinator for state and local tax issues. Well versed in the use of tax software, including Fast-Tax. Other responsibilities included uniform capitalization of inventories compliance, and tax analyses of proposed client transactions, using Lotus 1-2-3 models that I developed.
