I serve as Corporate Counsel at Federated Hermes, Inc., a leading global investment manager known for its broad range of investment solutions across public and private markets, including real estate, infrastructure, private equity and private debt.In that capacity, I structure investment funds and separate accounts. In addition, I am pleased to provide practical legal securities regulatory counsel related to the management and distribution of separate accounts and investment funds in support of our institutional clients and the Federated Hermes mutual funds and private investment funds. I also provide portfolio transactional counsel in the context of derivatives and repo trading agreements and negotiate the credit agreements in the context of debt restructuring. Separately from my securities practice, I provide transactional and regulatory counsel in connection with retirement plan assets subject to the requirements of the Employee Retirement Income Security Act of 1974. Finally, I am a legal and business partner with respect to the firm's initiatives involving the adoption and integration of FinTech into our business practices and financial products.

As an associate in the investment management, hedge funds and alternative investments, and ERISA Fiduciary practice groups, my core practice focuses on the structuring, formation and ongoing operation of private investment funds and separate accounts for private equity and hedge fund managers. In addition, I counsel public and private markets asset managers with respect to US securities laws and regulations applicable to the offer and sale of fund securities, and US fund and investment advisor laws and regulations applicable to the management of funds and client accounts. I have related experience negotiating trading agreements on behalf of institutional investors, and I represent plan fiduciaries with respect to their obligations under the Employee Retirement Income Security Act of 1974.

My core practice is in general corporate matters, securities offerings and securities law compliance, and related transaction matters. I focus on corporate governance, contract negotiation, private fund and asset manager acquisitions, and private equity investments. I also assist businesses with initial capital raises, Series A, private offerings and IPOs. Additionally, I have experience counseling registered and private funds and their sponsors on matters pertaining to fund structuring, contract negotiation, and the regulatory aspects of deals and fund operations.
