I have more than 25 years of experience handling corporate, securities, and business law matters for clients in broad range of industries. I counsel start-up and mature companies, including technology companies, and investment banks that deliver both the intellectual and financial capital necessary to fuel their growth. I also regularly represent real estate investment trusts, mutual funds, and other investment funds and companies on matters of Maryland corporation and trust law. I advise these clients in formation transactions and public offerings, mergers and acquisitions, and on issues of board and special committee responsibilities, change-in-control and proxy contests and takeover defenses. Although my focus on REIT and mutual fund clients is often primarily on matters of Maryland corporation law, my broad-ranging experience as a corporate and securities lawyer for clients in other industry groups allows me to bring an added perspective to transactions in which I am involved. My colleagues at Ballard Spahr and I have acted as counsel in literally hundreds of equity and debt offerings and other financing transactions, as well as for dozens of mergers, acquisitions, divestitures, liquidations, and other similar types of transactions. I also represent licensors and licensees in complex licensing and co-promotion transactions and am the Co-Practice Leader of Ballard Spahr's Life Sciences and Technology Group.
