Gateway Associates, Inc., a business advisory firm established to work with small to mid-sized companies in the areas of restructuring, strategic planning, capital formation, deal structuring, strategic partnering, international expansion, and mergers and acquisitions. As a part of Gateway’s engagements he: 1. served as a board member, nominated by the creditors, of a privately-held, facilities-based provider of data transport services including SONET/DS Ethernet, as well as IP transit, dark fiber and carrier-neutral collocation services. In less than 12 months the board engineered a turnaround which enabled the company to meet or exceed its budgeted levels for revenues, EBITDA and free cashflow, and drove debt levels well below budget and overall liquidity well above plan. In less than 2 years, the company was sold for $165M to a public company in a transaction that returned all of the creditor’s recapitalized debt, plus $96M in equity. 2. served as a board member, nominated by the creditors, of a publicly traded, UK-based, fiber optic data transport and communications company upon its emergence from bankruptcy. The board repositioned the company for a potential sale by restructuring the company, recruiting new management and redefining its business strategy to transform it into a profitable operation. A purchaser was subsequently identified and after months of negotiations, agreed to purchase the company for $211M, an increase of over $100M from the original offer. 3. served as President, Chief Executive Officer and a member of the Board of Directors of an early-stage software company. During this engagement, Mr. Wilson redefined the company’s focus, oversaw the development and launch of two new products, opened a new sales channel, recruited new sales and marketing management, negotiated multiple partnering agreements, and secured the company’s initial venture capital commitment.

Leapfrog Technology, Inc., started in July 2010, is an early-stage software company, based in Marlborough, MA, with a software development center in Kathmandu, Nepal, that develops financial products for developing countries. In August, 2010, the company launched Mobile Cash, its money-transfer-by-text mobile wallet system, in Nepal in partnership with Kumari Bank, a leading commercial bank. Currently, 15,000 Kumari customers use Mobile Cash; this number is expected to double in the next twelve months. The company also has partnerships in place with Nepal Telephone Corporation and Buddha Air Pvt. Ltd, a major regional air carrier, which enable customers to pay their telephone bills and purchase airline tickets using Mobile Cash. The company is currently finalizing partnership agreements with a second major Nepalese bank and Nepal Electric Authority, the national electric company.

David R. Wilson is the founder and President of StreamCast Media, LLC. A veteran software entrepreneur, he has over overseen the development of all of StreamCast’s products, including the SideVu ChannelBar™, a compelling, fully integrated “webtop” application that provides a rich environment and destination venue that allows content publishers to connect and engage with their consumers on a personal level.

Prior to forming Gateway Associates, Mr. Wilson was a Managing Director of Wang Development and Investment Corporation, the Managing General Partner of the Golden Gate Development and Investment Fund; a venture capital fund raised in Taiwan for the purpose of investing in US high technology companies. In this capacity, he worked with zero and early stage organizations to commercialize products, establish corporate partnerships, implement merger and acquisition transactions, restructure, raise capital and expand internationally. As a senior corporate attorney at Wang Laboratories, Mr. Wilson participated in, directed, and negotiated numerous major corporate transactions, including a $195 million secondary public offering, the acquisition and divestiture of minority interests in various companies and assets, numerous financing agreements and the establishment of a number of domestic and international subsidiaries.
