Prior legal experience:Advising Luxury Resort Developers and OwnersAs principal outside general counsel to several luxury resort companies, Edward provides advice on acquiring and developing resort properties in the United States, Europe, Asia and the Caribbean. Hospitality clients look to Edward for guidance on every step of the ground up development process, including land acquisition, ownership structuring, equity and debt raises, and negotiation of favorable tax concessions from local governments. He also negotiates management agreements with luxury operators, drafts employment agreements, and helps resolve employee and partner disputes. Representing Office Developers and OwnersEdward has for many years represented several opportunity funds in their efforts to acquire or develop office properties throughout California and other western states. His work involves land use, construction, financing, private placements, acquisitions, dispositions, leasing, ownership structuring, tax, employment, litigation and entity formation and control matters. In representing these clients, Edward has developed expertise in negotiating and drafting purchase and sale agreements, financing documents, ownership entity and joint venture agreements, leases, property management agreements, development and construction agreements, and architect and other design professional contracts.Facilitating Capital Raise EffortsEdward is instrumental in raising the equity required for many of his clients’ projects. This includes advising clients on compliance with the Reg D rules for avoiding being required to register a securities offering with the Securities and Exchange Commission. These efforts involved raising as little as $5 million for a small project to over $600 million for a blind pool opportunity fund. As part of this process, he negotiates and drafts the ownership entity and subscription documents for the investment and provides operational and strategic advice.
