General Responsibilities:• Advise on corporate structure, credit card processing and required computer infrastructure, theater rental agreements, and volunteer policies.Accomplishments: • Drafted volunteer waivers for the first time in the company’s history and oversaw their implementation.• Worked with Lyric’s president to address breakdowns in the production process and reformed the production staff contracts for ten production staff roles.

General Responsibilities:• Draft public and private offering documents, indentures, and related transaction documents for asset-backed securities deals.• Negotiate transaction terms with opposing counsel.• Advise clients on transaction structure.Accomplishments:• Participated in 59 successfully closed transactions across three different departments, including 55 asset-backed securities transactions, 3 corporate debt transactions, and 1 public finance transaction (each with a deal team no greater than 3 attorneys).• Served as lead associate in 43 asset-backed securities transactions, including 3 transactions that were the first of their kind for the client and have since become regular asset-backed programs with 1 or more deals per year modeled on my initial transaction.• As lead associate, drafted all offering and transaction documents, ensured that all required filings with the Securities and Exchange Commission (SEC) were timely made, and coordinating all aspects of the closing day.• All SEC filings for deals on which I was lead associate were on time and have not required amendment.• Represented multiple clients with credit rating agencies, explaining to the agencies how my clients’ complex asset-backed deal structures fit their published ratings criteria, and working with the agencies and clients to modify the deal structures when appropriate.• In 2009, became the office’s resident expert on the federal government’s Term Asset-Backed Securities Loan Facility (TALF) program, responsible for advising other firm lawyers on the requirements of TALF, and staying abreast of TALF-related practices in other Sidley offices.
