Baxa went through a process with potential buyers in 2010, with significant work completed on a potential Sale Purchase Agreement. The counterparty was very adversarial in the contract negotiation and we ended up walking away from the deal. Eric was a critical advisor and learned very quickly in this process. Then 2011, we completed a deal to sell the company to Baxter. Eric proved a seasoned in-house counsel in this process, which was very successful. With the integration, we no longer have in-house counsel in Colorado, so Eric elected to leave the company. He would be an outstanding choice for companies looking to add to their in-house legal team, bring in a General Counsel or build a legal department from scratch.
