- Responsible for all GTM legal work- Manage team of 4 lawyers and legal professionals

- Review and negotiate standard and non-standard agreements (both on premise and SaaS), non disclosure agreements, MOU’s, professional services agreements.- Negotiate hardware, software and services agreements with vendors- Generally supporting sales teams in the contract and customer engagement process, including providing assistance with customer data privacy and GDPR-related concerns. - Remain up-to-date on relevant industry, privacy, intellectual property, and other applicable laws to provide informed business and legal advice.

• Negotiate, draft, and review IT contracts with local, national and global vendors for all Colorado executive branch agencies and serve as an expert on cyber-security, state contracts, procurement, fiscal matters and related issues. • Coordinate risk and compliance team with procurement and contracts team to ensure all contracts comply with State cybersecurity policies. • Served on various committees to develop and implement state wide IT policies.

• Researched and prepared memoranda regarding: employment law, international copyright issues, domain name registration and credit security agreements. • Drafted, reviewed and revised provisions in various contracts, including: construction loan credit agreements, ICANN filings, and employment contracts.• Conducted extensive discovery for various franchise related cases.

• Writing appeals for indigent persons convicted of felonies before Colorado district courts.This includes ordering necessary documents and transcripts for record on appeal, motion practice, writing original briefs and petitions for review. • Editing briefs of staff attorneys, advised, supervised, and trained staff.

• Conducted legal research into SEC reporting requirements and assisted in preparing regulatory filings, including; 10-K, proxy materials, and 8-K’s. • Worked with outside counsel resolving issues regarding bank branch real-estate leases in Texas and Colorado. • Assisted in drafting and filing regulatory disclosures and reports, including; NYSE annual written affirmation, OCC Annual Report of Indebtedness of Executive Officers and Principal Shareholders and Their Related Interests to Correspondent Banks, and OCC customer complaints. • Assisted with revision of 2015 corporate governance policies which included writing portions of the nominating and governance committee book. I also compared the bank’s governance policies to bank ISS peers, specifically related to cyber security and shareholder activism.• Wrote detailed memoranda for the CEO and general counsel in regard to UCC issues, specifically related to; electronic check fraud, agricultural loans secured by farm equipment, and other issues.

• Researched and prepared memoranda regarding non-solicit agreements, the executive committee charter, internal legal holds, and other matters. • Worked with in-house and outside counsel to prepare SEC filings.• Drafted, reviewed and revised provisions in various contracts, including; service level agreements, non-disclosure agreements, master service agreements, and statements of work. • Participated in contract negotiations related to managed services and hosting with international and domestic clients.
