Perform due diligence, draft disclosure schedules, review employment agreements and purchase agreements in connection with: an eighty million dollar equity sale of an oil and gas services company to a publicly held company; a twelve million dollar equity sale of an international oil and gas services company (chemical company) to a publicly held company; a thirty million dollar asset and equity sale to a privately held company of an oil marketing and transporting company; a fifty million dollar contribution agreement by between an oil and gas operator and a private equity companyRepresent clients in all aspects of general business practice, including private placements, resale of securities, formation of business entities, purchases and sales of real estate, forward like-kind exchanges and reverse like-kind exchanges of oil and gas properties, lending, and various other contractual arrangements. Write tax opinion letters in regards to like kind exchanges of oil and gas properties, as well as the “Tax Aspects” sections of a private placement memorandum for a thirty-two million dollar drilling fund.

Perform due diligence and assist securities attorneys during the merger between two Fortune 500 homebuilding companies. Review disclosures and assist in drafting an amended 10-K filing and joint proxy statement.
