Exited Surgery Partners - as the longest-tenured executive from NovaMed’s founding - in connection with Surgery Partners’ acquisition of Symbion, Inc. and relocation of the corporate headquarters to Nashville.

One of the original employees and lead in-house attorney responsible for all legal matters for health care services business during its growth from a start-up, to a publicly traded company (Nasdaq: NOVA), to its sale to HIG Capital. Responsibilities also included significant involvement in the business, financial and operating segments of the company. Duties and experience during this time included:• Structured, negotiated, documented and closed over 100 acquisitions and divestitures. Structuring responsibilities included addressing all health care regulatory, tax and accounting issues. Acquisitions involved targets in all of the company’s business segments: ambulatory surgery centers; physician practices; optical laboratories; marketing services businesses and buying groups. • Participant in all Board of Director meetings and strategic planning sessions.• Securities offerings, including the company’s initial venture capital funding, its initial public offering, a convertible bond offering, and multiple private securities offerings.• Structured, documented and negotiated the divestiture of the company’s physician practice management business, which involved 19 separate transactions consummated over a two-year period. • Negotiated all material contracts, including: credit agreements; employment and consulting agreements; real estate leases; and vendor supply agreements.• Securities law compliance, including filings with the SEC of proxy statements, Forms 10-K, Forms 10-Q and other necessary filings, and oversight of the company’s Insider Trading Program.• Health care regulatory compliance, including oversight of the development, implementation and operation of a corporate compliance program.
