Responsible for all non-litigation matters including:• Securities and Exchange Commission compliance: prepared / reviewed proxy statements, 10-Ks, 10-Qs and other filings; managed compliance with Section 16 and prepared and filed all Forms 3, 4 and 5; advised executives on their section 16 responsibilities and insider trading compliance; established programs to add value to stock options. • Acquisition: Purchase of powder metal fabricating company • Dispositions: $120 million Sale of Interlake’s Packaging Division and $100 million sale of Interlake’s Europe-Asia material handling business. • Major contracts: Negotiated Enterprise Resources Planning software license agreements, real estate leases and purchases, customer and vendor contracts.
