During my 20+ year career, I have advised Boards, C-suite executives and cross-functional teams in governance, corporate and securities law, and global compliance, often in high-profile, high-sensitivity, rapidly changing and highly contested environments. Currently, I serve as VP, Deputy General Counsel, Corporate, Compliance and Risk at HubSpot. I previously served as SVP, Deputy General Counsel and Chief Compliance Officer at SmileDirectClub, Inc., a global medtech disruptor, where I provided thought leadership on developing mature public company board oversight, governance and SEC reporting processes, a global compliance program, including the global privacy team, and ERM and ESG strategies. Before that, I served for 14+ years at media giant CBS Corporation, where, as SVP, Associate General Counsel and Assistant Secretary, I served as lead governance executive, co-led the Corporate and Securities Law department, and provided leadership on ESG and risk initiatives, managing a global team of legal professionals.At CBS, I answered the ‘red phone’ for critical legal and strategic advice during:• Transformational transactions (contentious merger process with complicated optics and legal analytics; divestiture of two major business units);• A legal battle with the controlling shareholder, with complex governance, disclosure and annual meeting implications; and• Multiple C-Suite and board transitions. All this, while keeping the core work moving and leading in modernizing governance and disclosures during times of intense transformation:• Co-founded the Executive Sustainability Council, a cross-functional executive committee focused on ESG risk management and reporting, navigating resistance to change;• Served as an inaugural member of management’s Risk Management Committee, advising on objectives, governance and board reporting; and• Led initiative to modernize the Proxy Statement, obtaining C-suite and board support.None of this happens without a team.
