Legally responsible for the company's commercial matters (power and gas), including the negotiation of PPAs, ISDAs, NAESBs, TSAs, Qualified Supply, Hedging, financial agreements/instruments, among others. Giving legal support for the company's business lines in Mexico and abroad on:(i) Generation, commercialization, and supply of electric power.(ii) Transportation, compression, and commercialization of natural gas.(iii) Alternative solutions for energy generation (mobile turbines).(iv) Commercial disputes (litigation and arbitration).

Collaboration with multidisciplinary teams (Legal, Finance, Commercial & Trading, Business Development, O&M, etc.) of an international public listed company with presence in 30 countries with diverse business divisions in the energy sector, being responsible for legally directing the following:(i) Act as focal point for the Administration, Finance and Control (“AFC”) area of the company in Mexico, advising them on project finance, commercial and corporate loans, compliance with diverse covenants before banks, funds, shareholders, guarantors, trusts, etc.(ii) Negotiation and compliance of financial contracts and documents (loans/facilities, swaps, hedges, direct agreements, trusts, PSAs, SHAs, assignments, guarantees, certificates, etc.). (iii) Legal advice related to the negotiation of commercial and development contracts (PPA, hedging, supply, O&M, EPC, MOU, development, lands, interconnection, etc.).(iv) Legal advice on different trading operations in the Mexican Wholesale Electricity Market.

I led the Energy & Infrastructure area of the Firm, where I advise domestic and foreign companies from different industries (Energy, Infrastructure, Transportation, Telecommunications, Ports, Railways, Mining, Chemical, Petrochemical, etc.), mainly in the following activities:(i) Negotiation and administration of specialized contracts (PPA, EPC, O&M, TSA, NAESB, Interconnection, Supply, Financing, etc.).(ii) Obtaining and complying with governmental permits before CRE, CENACE, CNH, CENAGAS, SEMARNAT, SENER, ASEA, etc.(iii) Advice for the development and financing of projects. (iv) Legal accompaniment in administrative and commercial matters, including CFE and PEMEX.(v) Representation in litigation, public bids and lobbying before authorities.

Legal and corporate advice for several companies involved in diverse activities related to the Electric Industry and Oil & Gas sector, collaborating with them in the following:(i) Preparation and negotiation of contracts (PPA, O&M, EPC, Financing, Supply, Hedge, Commercialization, Distribution, Leasing, Services, TSA, Interconnection, tariff agreements, etc.)(ii) Incorporation of Special Purpose Vehicles (SPVs) for domestic and foreign companies for their operation in Mexico in different industries, along with advice on project financing.(iii) Advice on corporate governance and support for the compliance of contractual and regulatory obligations in different activities of the energy sector.(iv) Legal and commercial advice to several companies in their operations in the Wholesale Electricity Market ("MEM").(v) Legal advice in litigation procedures against authorities and commercial counterparties.(vi) Processing of permits, negotiation of contracts, advice on public bids and support in administrative proceedings before the CRE, CNH, CENACE, CENAGAS, SENER, ASEA, SEMARNAT, CFE, PEMEX, etc.

Legal and corporate advice for several industries, collaborating with them in the following:(i) Energy:- Electricity: Advice for clients on their operations in the MEM, obtaining permits before the CRE and Market Participant Contracts before the CENACE, legal counseling on public bids, preparation and negotiation of diverse contracts related to the purchase and sale of renewable energy projects.- Upstream: Consultancy for the migration of Joint Operation Agreements ("JOA") and advice on Rounds and Farmouts for the awarding of license, production sharing and/or utility sharing contracts.- Midstream: Consulting on natural gas transportation and commercialization activities, obtaining permits, negotiating Base Contracts for the Sale and Purchase of Natural Gas ("NAESB"), interconnection, etc.- Downstream: Preparation and negotiation of contracts for the supply, storage and transportation (pipeline, tank cars and rail cars) of oil and petrochemicals, negotiation of DODO contracts, obtaining permits and advice on gas and diesel service station activities.(ii) Telecommunications:- Telecommunications Services: Legal advice for the deployment of grids and infrastructure, advice on public bid for the allocation of frequency bands, support in regulatory compliance of several services, advice on the execution of interconnection contracts and licensing of MVNOs. - Broadcasting: Corporate, contractual and regulatory advice to public television companies.(iii) Environment:- Environmental Impact: Legal advice regarding MIAs, ETJs, ERAs, and attention to obligations required by environmental authorities in the construction and operation of diverse industries.- Water: Promotion of administrative disputes, obtention of water rights for different uses, concessions and permits for the construction of infrastructure in federal zones.

Legal and business advice to clients who provide TMT and broadcasting services, collaborating with them in the following:(i) Conducting several regulatory compliance due diligences related to Concession Titles and standards for television companies, Mobile Telephony Services, OTT services, MVNOs and point-to-point and point-to-multipoint microwave link capacity provision services.(ii) Advice for the incursion in new telecommunications services, direction of administrative disputes and procedures before authorities.(iii) Legal advice on interconnection agreements, service contracts, purchase and sale, leasing, etc.(iv) Merge notices, attention to litigation and antitrust investigations.(v) Advice on bids and contracts with SCHP, SCT, IMSS, BANSEFI, NAFIN, etc.
