In 2012, I represented Hilcorp in negotiations with the Alaska Attorney General which produced a Consent Decree allowing Hilcorp to acquire Marathon's assets in Alaska. On behalf of Hilcorp, in 2013 I drafted, negotiated and completed the first long term gas sales agreements approved by the Regulatory Commission of Alaska in over 10 years. I provided advice, counsel and drafting in the acquisition of an oil and gas exploration agreement with Cook Inlet Region, Inc., for the Iniskin Peninsula, and surface use agreements with various village corporations. I worked with our A&D group on the acquisition of several of BP's properties on the North Slope of Alaska.

In 2006 I was assigned as primary counsel representing Chevron's interest in the Alaska North Slope including Prudhoe Bay Unit, Kuparuk River Unit, Duck Island Unit (Endicott), and Point Thomson Unit. During the time, I participated in the development of the production processing and sharing agreement between Pioneer Natural Resources and the working interest owners of the Kuparuk River Unit. I represented Chevron in the negotiations between the working interest owners of the Point Thomson Unit, and between the working interest owners and the State of Alaska. I handled Chevron's interests in the negotiation of settlements with the state and federal government and among the working interest owners in the wake of the two crude oil pipeline spills at Prudhoe Bay, operated by BP. I was counsel for Chevron in negotiating a farmin agreement and a joint operating agreement with Total for the five-well exploration project in the White Hills south of the Brooks Range.

Unocal owned working interests in oil fields on Alaska's North Slope and in the Cook Inlet, and also owned the ammonia fertilizer plant on the shores of Cook Inlet on the Kenai Peninsula. The fertilizer plant had a unionized work force, and I provided legal support for labor and employment relations including the negotiation of two collective bargaining agreements. Unocal operated 10 oil and gas platforms in the Cook Inlet, three onshore processing facilities, a regulated crude oil pipeline and several oil and gas fields on both sides of the Inlet. I represented Unocal in connection with a significant crude oil discharge from a gathering line in the Swanson River Field, negotiating a reasonable settlement agreement with the State of Alaska Department of Environmental Conservation. I wrote and reviewed farmins, farmouts, joint operating agreements, and other oil and gas agreement. I represented Unocal in the negotiation and drafting of a surface use agreement with an Alaska Native village corporation on the Kenai Peninsula. I worked with an interdisciplinary M&A team in structuring and negotiating the sale of the fertilizer plant to Agrium. I represented Unocal and supervised outside counsel through the bankruptcy of Unocal's largest working interest owner partner in its Trading Bay properties. I supervised outside counsel in the defense of several personal injury cases arising from Unocal's operations. I also provided advice and counsel on environmental and safety matters. I assisted in the negotiation and drafting of a large gas supply contract with the largest gas utility in Alaska.

Equity investor and counsel to Mount Roberts Tramway project in Juneau, Alaska. Negotiated and drafted 70-year ground lease with City and Borough of Juneau; 70-year ground lease with AJT Mining Properties, Inc.; Limited partnership agreement with Goldbelt, Inc.; aerial rights-of-way with State of Alaska; $5.5 million aerial tramway construction contract with Poma of America, Inc.; $5 million construction contract with Wick Constructors/JV; architectural contract with Jensen Douglas Architects, Inc.; acquisition of insurance policies; subleases for recreation services and retail shops; contracts for procurement of computers and computer networking services; RFP and contracts for procurement of computerized ticketing system; shore excursion agreements with Holland America Westours, Princess, and other cruise lines; $9.8 million construction loan agreement and $13 million permanent loan with Key Bank of Alaska; personnel manuals and procedures; and numerous other commercial documents. Selected and supervised outside counsel in various legal disciplines including securities registration; public interest litigation; trademark registration; contract disputes; and construction arbitration. Worked as a team member across disciplines, including concept development, business planning, contract negotiations, investor relations, public relations, employee and contractor hiring, marketing, and operations.

I prepared oil and gas lease title opinions for over 100 leases. I provided legal support to numerous small and medium sized businesses, giving advice and counsel on corporate law, tax law, employment law, contracts and employment matters. I represented Alyeska Ski Resort in the negotiation of tramway and ski lift contracts, employment matters, defense of personal injury claims and public land relations with the US Forest Service and Alaska Department of Natural Resources. I litigated a decade's worth of right-of-way claims on a contract from the State of Alaska Department of Law, developing new law related to the establishment and width of road rights-of-way under various Interior Secretarial Orders, Public Land Orders, and dispositions under the Homestead Act and Small Tract Act. I represented many recreational and adventure experience clients providing corporate counsel, and drafting and litigating recreational release agreements.

The most interesting matter I worked on was a dispute between the State of Alaska and a company who wanted to develop an in-holding in Chugach State Park. The dispute involved the width and course of a right-of-way established by the initial homesteader under RS 2477.

I prepared delicious concoctions such as the Lilac Hurricane and the Circus, a birthday-party-in-a-bowl filled with marvelous flavors of ice cream, toppings, whipped cream, and cherries on top. Before placing the huge ice cream bowl before the birthday celebrant, we would demand the answers to such skill-testing questions as, "How many green Chinese tea cups in a dozen?" or "Who was the Bull Moose Party candidate for President in 1912?" Immediately, the drum would go BOOM, and the time for the answer was up. Later I became night manager for the enterprise, supervising a crew of three to five.

I worked for Dave Trace at his Esso Marina. I pumped gas, sold retail items, and provided boating and fishing advice. The best task was driving the 18-foot speed boat on charter for water skiers. The name of the boat was the "Esso Bee." I also scuba dived for items dropped overboard by customers.

I had a 26-paper route stretched over a five mile course of country roads and lanes. I was responsible for delivering the evening paper and for collecting the subscription fees. Usually I rode my bicycle to do the route, but occasionally I would ride my horse, a 16-hand Belgian-Quarter Horse mix. Sometimes on snowy days my Mom would take pity on me and drive me up the steep hills along the route.
