Assistant General Counsel

In 2012, I represented Hilcorp in negotiations with the Alaska Attorney General which produced a Consent Decree allowing Hilcorp to acquire Marathon's assets in Alaska. On behalf of Hilcorp, in 2013 I drafted, negotiated and completed the first long term gas sales agreements approved by the Regulatory Commission of Alaska in over 10 years. I provided advice, counsel and drafting in the acquisition of an oil and gas exploration agreement with Cook Inlet Region, Inc., for the Iniskin Peninsula, and surface use agreements with various village corporations. I worked with our A&D group on the acquisition of several of BP's properties on the North Slope of Alaska.

The fertilizer plant had a unionized work force, and I provided legal support for labor and employment relations including the negotiation of two collective bargaining agreements. Unocal operated 10 oil and gas platforms in the Cook Inlet, three onshore processing facilities, a regulated crude oil pipeline and several oil and gas fields on both sides of the Inlet. I represented Unocal in connection with a significant crude oil discharge from a gathering line in the Swanson River Field, negotiating a reasonable settlement agreement with the State of Alaska Department of Environmental Conservation. I wrote and reviewed farmins, farmouts, joint operating agreements, and other oil and gas agreement. I represented Unocal in the negotiation and drafting of a surface use agreement with an Alaska Native village corporation on the Kenai Peninsula. I worked with an interdisciplinary M&A team in structuring and negotiating the sale of the fertilizer plant to Agrium. I represented Unocal and supervised outside counsel through the bankruptcy of Unocal's largest working interest owner partner in its Trading Bay properties. I supervised outside counsel in the defense of several personal injury cases arising from Unocal's operations. I also provided advice and counsel on environmental and safety matters. I assisted in the negotiation and drafting of a large gas supply contract with the largest gas utility in Alaska.
