Responsibilities include representation of several private lenders involved in financing construction (with or without interest reserves), acquisition and refinance loans to corporate entities for investment properties. Work independently with loan files from creation through closing. Extensive title review and contact with title companies to affect clearance to close. Direct contact with Borrowers, Sellers and their respective attorneys. Preparation and production of all loan documents (Building Loan Agreements, Mortgages, Notes, Personal Guaranties, Borrower & Guarantor Certificates, Consent of Shareholders/Members, CEMA’s, Modification Agreements, Assignment of Leases & Rents & all affidavits). Preparation of ACRIS documentation and use of ACRIS research to ensure lender’s lien priority. In charge of representing numerous condominium and co-op sponsors from contract drafting through closing. Preparation of all closing documents, affidavits and closing statements.

Responsibilities included working closely with four senior partners and three associates. Involved with residential, corporate and commercial real estate. Research performed in each portion of the practice. Residential duties included drafting & negotiating contracts, preparation of transfer tax documents, stock certificates, proprietary leases, & all affidavits. Scheduled and performed closings, supervised disbursement of escrow funds at closing and preparation of closing statements and binders. Corporate duties included preparing Subscription Agreements, Membership Interest Sales Agreements, Consulting Fee Agreements, reviewing corporate loan documents, preparation and delivery of corporate amendments to Attorney General/New York department of Law (Co-ops), preparation of Lease Resumes and closing statements/binders. Commercial duties included representing several commercial lending institutions, drafting loan documents, preparation of Partial Releases of Mortgages and UCC-3’s.

Responsibilities included mortgage closings (Purchases, refinances, consolidations and modifications), loan file preparation, title review and document preparation. Preparation of HUD-1 and HUD-1A Settlement Statements, computation of real estate tax and insurance escrows. Excellent knowledge of all real estate closing documents.
