I am a proactive business attorney with extensive experience in large multi-national corporations. In my roles as GC, CCO, and Corp. Sect. I developed and led multi-cultural, geo. dispersed, high-performing teams that actively and effectively supported our business colleagues.I believe that the Legal and Compl. functions need to be business enablers. To do that, those in Legal and Compl. have to: (i) understand all aspects of the business they support; (ii) understand the business’ strategy and objectives; (iii) understand the legal obligations applicable to the business; and (iv) respond creatively and with our internal client’s sense of urgency. Having started my career at a large firm in Phil., I moved to the capital goods industries in 1999 as General Counsel NA with Volvo Const. Equip. While at Volvo CE I led the consolidation of 3 distribution networks (that involved the termination of more than 140 dealers across NA) and the acquisition of Volvo’s largest dealer in NA. In addition, I was instrumental in developing a new channel to market. I also developed a solution for disrupting the gray-market sales of a particularly profitable product.In 2006, I joined CNH Global N.V. as GC and Corp. Sect. Shortly after assuming the role, I implemented structural change and a paradigm shift for the globally dispersed, 80+ person Legal Dept., changing it from an overly conservative, reactive “in-house law firm” to a proactive solution-oriented partner to the business. This resulted in increased internal client satisfaction and a closer and more effective working relationship between the Legal Dept. and internal clients.While at CNH, I successfully resolved disputes with U.S. government regulators, successfully managed all legal aspects of the merger of CNH Global with its public-company parent, Fiat Industrial S.p.A. (which resulted in the take-out of CNH Global’s minority shareholders with no litigation), and worked extensively on the termination of a global strategic alliance. I managed a litigation over retiree medical benefits that lasted 14 years and was finally resolved in our favor by the Supreme Ct., resulting in hundreds of millions of dollars of liability being removed from CNH's balance sheet.As the leader of Legal and Compl. functions I earned the respect of the business leaders I supported. Identifying potential problems is necessary; however, in order to really bring value you have to identify the potential issues and help business colleagues successfully navigate those issues to achieve their objectives and win in the market.
