My experience includes:- acting for MTAA in the acquisition of Ferntree Business Park in the amount of $168 million – which involved a comprehensive due diligence review of all material contracts, negotiations with the Vendor’s solicitor and attending to the physical settlement and post settlement tasks;- advising both landlords and tenants in the negotiation of agreements for lease and leases for both commercial and retail premises; - undertaking legal due diligence for both vendors and purchasers for commercial and retail properties throughout Victoria, including undertaking searches, carrying out reviews of leases and other material contracts, and advising on risk;- acting for developers and private clients in drafting and advising on contracts of sale for commercial and residential properties; - acting for local governments, statutory authorities and water authorities in drafting and providing advice pertaining to retail, crown land, telecommunication and aerodrome leases, - advising local governments with respect to best practice and compliance issues arising under the Local Government Act 1989 (Vic) and the Crown Land (Reserves) Act 1978 (Vic); and-advising developers in relation to development projects, including the negotiation of land development agreements, joint venture agreements and contractor agreements.

My experience includes:Acting for developers with respect to major commercial developments in metropolitan Melbourne and regional Victoria, including advising on and preparing: - agreements for lease and leases for service stations, supermarkets and department stores; and- land development agreements, joint venture agreements and consultancy/contractor agreements; Acting for numerous statutory authorities (including local councils and water authorities) in relation to: - retail, crown land, telecommunication and aerodrome leasing;- commercial contracts such as collaboration agreements; and- governance, best practice and compliance issues arising under the Local Government Act 1989 (Vic) and the Crown Land (Reserves) Act 1978 (Vic).Advising various high wealth SMEs on: - sale and purchase of business transactions, including acting for major car dealerships and a national supermarket chain;- share and unit sale agreements, including preparing and advising on due diligence materials prior to takeovers; - business succession planning including preparing documentation and providing advice on matters relating to equity holders deeds, subscription agreements and employee share schemes;- commercial contracts such as manufacturer agreements, terms and conditions trade/supply and website terms and conditions; - employment law matters including preparing employment and related contractor/consultancy agreements and advising on restructuring, redundancies, unfair dismissal/general protection claims and modern award compliance;- asset protection strategies, including advising and preparing documentation on matters relating to the Personal Property Securities Act 2009 (Cth) protection and compliance and licensing of intellectual property; and - acting for not-for-profit organisations with regards to providing advice regarding compliance and regulatory issues (including but not limited to Corporations Act 2001 (Cth) compliance).

Paralegal duties including:- Researching trade mark registrations;- Drafting and proofing of legal documents and contractual terms;- Drafting letters to clients; - Researching relevant legislation and case law;- Contributing to, drafting and proofing legal articles and content; and- Filing trade mark searches.
