I serve as general counsel for FD Stonewater, a real estate investment, development and advisory company, representing the company in all aspects of its business. My practice focuses primarily on asset acquisition, disposition and financing, leasing, joint venture formation and general corporate matters.

• Represented Rentech, Inc. in all facets of its alternative energy technology, project development and manufacturing business, as well as managed day to day matters such as dispute resolution, litigation management and general commercial matters. • Responsible for negotiating and drafting documents related to the acquisition, development and financing of wood pellet manufacturing mills and biomass to power/liquid fuels facilities in the United States and Canada, including feedstock supply, offtake, engineering, procurement and construction, financing and joint development agreements.

• Extensive transactional experience focused in the renewable energy sector relating to project development, project finance and mergers and acquisitions. • Responsible for negotiating and drafting complex development, construction and financing agreements. • Represented developers and turbine suppliers in connection with the purchase and sale of wind turbines.• Represented equity investors in the purchase of commercial and residential solar projects.• Represented developers in connection with the development and financing of a 700+ MW wind facility.• Representation of developer in a joint venture for the development of, and turbine supply for, a 5+ gigawatt wind project located in South Dakota.

• Broad civil litigation experience in federal and state courts and arbitration proceedings, with a focus on environmental law and the aerospace/defense industry. Litigation experience includes conducting depositions in complex, high stakes litigation, drafting pleadings and dispositive motions, preparing and responding to discovery requests, interviewing witnesses and declarants, and preparing experts for trial. • Transactional experience includes performing environmental due diligence, reviewing contracts regarding allocation of current and potential environmental liabilities, and evaluating land use issues.
