Between college and law school I served as an officer in the United States Navy. Upon graduation from law school, I was an attorney with the Internal Revenue Service followed by an appointed position in the administration of then-Governor William Milliken and employment as counsel with the Michigan State Housing Development Authority. Since 1974 I have been in the private practice of law in Ann Arbor.I have provided services in connection with many mergers and acquisitions. I have worked with entrepreneurs in assisting with start-up companies, both technology based and otherwise. I have helped my clients in attracting and obtaining equity and debt financing appropriate for their needs in conformance with applicable securities and related law. Services include those associated with selection and establishment of appropriate business entities, contract reviews, license negotiations, tax counseling and so forth. I've acted as counsel in connection with many complex transactions and financings. I have also had extensive experience with real estate matters. This has included assisting developers of housing for low/moderate income tenants and owners of historic properties in seeking and obtaining favorable tax treatment and benefits. I have participated in numerous revenue bond offerings as counsel to issuers, owners, bond purchasers and institutional trustees.I have also been active in encouraging a favorable business climate in the region.
