Led and managed mergers and acquisitions lifecycle and process (e.g., strategy development, target identification and development, transaction structuring, due diligence, letters of intent, term sheets), reviewed, revised, and negotiated definitive agreements (e.g., stock purchase agreements, escrow agreements); resolved post-closing matters.

Represented and advised Shell Technology Ventures Fund 1 B.V. manager and fund portfolio companies on various legal matters, including M&A, legal compliance (anti-corruption, import/export, U.S. sanctions), contract management, employment and HR matters, corporate governance, bankruptcy and creditors’ rights, litigation management and dispute resolution, and domestic and international commercial, operational, and financial agreements.

Represented and advised SPX Flow Technology (segment of SPX Corporation, now SPX FLOW) business units on various legal matters, including anti-corruption, export and U.S. sanctions compliance, contract management, litigation management and dispute resolution, and other commercial agreements (e.g., MSA’s, buy/sell side, real and personal property sales and leases, agent and distribution agreements, technology transfers).
