Job Description : ROC Compliance Convening of Board, Committee and General Meetings. Preparation of Minutes of Board/Committee of Directors’ and Shareholders’ Meetings. Handled ROC Inspection & Compounding of offence under Companies Act, 1956. Preparation of Annual Report. Formalities related with Dividend Payout to the Shareholders.  Incorporation of New Company. Registration, Modification and satisfaction of Charges.  Drafting of Power of Attorney(s) and Agreement(s). Compliance related to further issues of Shares, Increase of Authorized Capital, Change of Object Clause, Change of Name, and Registered Office etc. Maintenance of all Statutory Registers. Well conversant with MCA portal e- filling of forms.  Worked for Private Equity Fund for the Company, involved in Due Diligence process. Miscellaneous Liaison with;- Registrar of Companies, Banks for Consortium Banking, and Compliance of all Banking covenants. Co-ordination with Statutory & Internal Auditors. Co-ordination in Finalization of Accounts. Handling legal department and co-ordination with lawyers for Court cases. Overall supervision of HR activities. Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders.

During my tenure as 15 Months Management Trainee I have been involved in Secretarial, ROC Compliances, Stock Exchange Compliances relating to Stock Broking Company including Special Assignments; which have helped me in understanding the compliance issues from a practical point of view. This has widened my perspective, ability to comprehend and appreciate the importance of Compliance, keeping a macro picture in view while creating solutions. The major assignment includes the followings; Processed Application for Acquiring Membership of different Stock Exchange(s). Processed Application for Registration as Portfolio Manager with SEBI.  Processed Application for Registration as an Insurance Broker with IRDA.
