About Robert Minster

I am open to new leadership role(s)as an independent director and/or as an executive. I recently served on the board of a national nonprofit as Board Secretary and am an actively engaged member in the PDA, NACD and Executive Forum. As a past CEO of a nine figure revenue national insurance carrier I was also concurrently the lead inside director leading quarterly board meetings.It energizes me to be part of cultivating a culture of transparency, continuous improvement, and respect for others. The skills and attributes that I have gained in my 30+ year career bring value to any organization with which I am associated. My track record as an executive leader and board member is one of results, innovation, efficiency, inspiring & developing colleagues and winning.Appointed as CEO in April 2014 to lead a national insurance carrier through a crisis. With calm, transparency and team building I successfully stewarded the company through adversity. I then restructured the board and business organization, which included the recruitment of new highly qualified independent directors. All the while, keeping the organization engaged on its day to day operations. I led the cultivation of a culture of governance that contributed to the insurance group's eventual high valuation sale.Outside of work you can find me enjoying hiking, museums, and espresso cafes near home and around the country. Also, I love traveling with my wife to stay close to our family in Colorado, Washington D.C., and Brasil. I try to leave everything better than I found it, always learning new things and passing kindness along the way.

Mission: to build a national surety insurance carrier.Process included recruiting and leading an advisory committee, prospective board of directors, prospective management team and founding customers. Solicited carrier targets, led due diligence team, engaged M&A, securities, employment and regulatory counsels. Negotiated LOI and eventual execution of a definitive set of acquisition agreements. Collaborated with financial expert, in preparing an extensive financial model including full set of GAAP and statutory financial statements, supporting schedules as well as ROI modeling. Solicited directly and later with Investment Banker numerous potential investors: individuals, PE/VC, family offices and institutions.Raised capital commitments of a mid eight-figure amount.

Company size: approximately $150 million revenues, 230 employees, 25 locations across continental United States with revenues from all states and U.S. territories.Appointed CEO to lead company out of a malfeasance committed by a company financial officer. Led and collaborated with team of outside counsel, forensic accountants & investigators to assess all malfeasant transactions, develop and implement a turnaround plan and report issues and solutions to all relevant stakeholders.Successful leadership and management of crisis resulted in timely refilling of 2013 company statutory financial statements in time to meet required deadline of Surety Desk of United States Department of Treasury. Received affirmation of A.M. Best Rating after being placed under review with negative implications.While under A.M. Best review maintained, without interruption all terms and conditions of reinsurance contracts, maintained key employees and customer/agency relationships. Concurrently led company through due diligence with three potential buyers of the company as back-stop measure in event company was unable to achieve affirmation of its rating.Upon affirmation of A.M. Best rating, led the formation a holding company system that did not previously exist. Restructed company's board to a more contemporary governing board. This included establishing two boards: a shareholder based board at the holding company level and a governing board for risk taking carrier entity. Identified and recruited three new independent directors for the carrier BOD. Identified and recruited Chief Risk Officer as part of the C-suite who reported directly to the insurance carriers board.

Collaborated with shareholders to design and implement a shareholder dividend plan. Results: increased income value of common shares, while keeping well within regulatory RBC levels and rating agency standards. Collaborated with HR and Shareholder(s) to design and implement a voluntary company-wide employee common stock purchase plan. Resulted in greater sense of belonging throughout all units and regions of the company.Identified and led the $28 million acquisition of Alleghany Casualty Company in 2012. Results: doubled company's 2nd largest line of business and fulfilled strategic objective of launching a new line of business with a unique identity. Optimized the company technology function (programing and hardware management were sub units of different departments) into one team and concurrently recruited and hired CIO officer to lead the new, combined business unit.Collaborated with newly formed IT Unit, Underwriting and Claims to design and implement early claim detection and management in which underwriting and claims worked in partnership. Collaborated with Finance and IT to design and implement Regional Profit Center Monthly P&L reporting. Results: optimized accountability of regional profit center results, increased sense of "ownership" by Regional Office colleagues over their regional operations and empowered HR to design incentive plans for regional staff more aligned with their short and long-term results.Managed the company's A.M. Best relationship.
