Robert Shaw is a partner in the Raleigh law firm of Smith Anderson. He has extensive health care, tax, business, and regulatory experience, including representation of clients on the buyer side and seller side in mergers and acquisitions, tax planning, business transactions, drafting physician agreements and employment agreements, corporate advice, and regulatory compliance. He has regularly represented clients in acquisitions, including regional and national health care providers, accountable care organizations, staffing companies, and hospitals. Mr. Shaw advises clients on corporate governance matters, business entity formation and dissolution, raising capital, and contract drafting and negotiations.Mr. Shaw has assisted clients at every stage of audit defense, from pre-audit compliance advice to challenging audit decisions, including civil penalties, recoupments, and terminations arising from investigations by the Office of Inspector General, U.S. Department of Justice, ZPIC and RAC audits, False Claims Act qui tam actions, and state fraud and overpayment investigations, as well as constitutional challenges to state investigations and assessments. Mr. Shaw also has a robust health care regulatory advice practice, including advising clients with respect to HIPAA, Anti-Kickback Statute, and Stark Law matters around the country. He has advised health care clients with respect to CLIA certification, enrollment and credentialing issues, managed care organization relations, and Affordable Care Act compliance. Mr. Shaw regularly represents clients in a wide variety of business tax contexts, including pass-through entities, tax controversies, corporate income tax compliance, tax-free mergers and acquisitions, asset purchases, and employee relations matters.
