Independent law practice since 1992, concentrating on transactional and general business law for technology companies,acting in the capacity of sole counsel or as support for general counsels and in-house legal departments of early stage and established businesses. Responsibilities included intellectual property rights, contract negotiation, retention and supervision of outside counsel, financings and personnel matters. Specific accomplishments include:• Alliance agreement with Accenture, covering joint marketing and sales arrangements, joint development of applications, and warrant agreement• License and professional services agreements with other major corporations such as GE Capital Corporation, Lucent Technologies and IBM• Coordinating variety of capital financing efforts, including issuance of preferred stock and debt• Establishment of uniform policies and procedures for nondisclosure, assignment of inventions, and non-solicitation agreements from employees and contractors.
