Transactional Attorney: Negotiate and draft agreements relating to various transactions including mergers and acquisitions, asset purchase agreements, joint venture agreements, stock purchase agreements, employment contracts, commercial lease agreements, real estate acquisitions and sales, and IP licensing agreements.Corporate Counsel: Provide services as outside general counsel in various capacities such as newentity formation, preparing operating agreements and corporate regulations, entity reorganization,stock purchases, stock redemption, subscription agreements, buy-sell agreements, and dissolution.Commercial Litigation: Counsel in various types of litigation including complex business litigation, shareholder disputes, trade secret protection, UCC Article 2 matters, corporate veil piercing, labor law, construction, foreclosure, landlord-tenant, and debt collections.

Corporate Counsel: Experience in entity formation, general corporate counsel, reorganization, stock purchases, stock redemptions, buy-sell agreements, joint venture agreements, employment agreements, lease agreements, mergers and acquisitions. Commercial Litigation: Experience in both prosecuting and defending complex commercial litigation claims. Debt Collection: Experience in representing creditors and debtors in debt collection actions, including pursuing fraudulent transfer claims, negotiating forbearance agreements and credit card debt workouts.
