Wrote legal opinions and provided legal advice on operation/maintenance/litigation related to all 57 of ENGIE/Suez’s power generation facilities in the United States and Canada, which included ISDA, EEI and NAESB agreements. Drafted and negotiated Settlement Agreements.Finalized EPC Contract with Doosan for Sohar Project in Oman, prepared EPC Contract with International Power for the Taweelah B Power/Desalination Project in Abu Dhabi as well as template EPC Contract. Completed Memorandum of Agreement (i.e., joint venture arrangement) with International Power for Taweelah B Project and Consortium Agreement for the Shoaiba and Marafiq Projects in Saudi Arabia with corresponding Consortium Agreement Term Sheet. Provided legal advice on all aspects of power generation facility operation and development including, but not limited to, Power Purchase Agreements, Engineering, Procurement and Construction (EPC) Contracts, Turbine Purchase Orders and Interconnection Agreements. Reviewed procurement documents and provided legal advice on tender/procurement processes. Drafted and finalized Purchase and Sale Agreements for $100+ million acquisitions, managed outside counsel dispute resolution activities against breaching third party EPC contractors and participated in a $200 million tax-exempt refinancing.

Surpassed top management’s objectives by finalizing four new upstream projects in Angola, one project in Qatar and one project in Yemen.Completed extensive analysis and prepared summaries of new business development projects in thirteen additional countries including due diligence reviews of producing properties.
