Worked directly with partner on the drafting of an information statement for company shareholders and the drafting and review of all corporate documents required for the transactions, including the separation and distribution agreement, ancillary management and tax sharing agreements, assignment agreements, board resolutions, shareholder consents and corporate entity conversion documents. Researched securities and transactional laws, regulations and treatises for issues as they arose during the transaction. Assisted company counsel with the closing of the transaction. • Represented a private equity firm on the due diligence phases of its bids to acquire an energy company and a mining company. • Assisted on the drafting and review of documentation, including the merger agreement, disclosure schedules and public filings, and performed all of the due diligence for the reverse merger of an internet investment services company by a private equity firm.
