Wolf and Snow is the first fractional legal department for startups and growth companies. As a fractional legal department we handle the day to day legal needs of a business including most corporate and commercial legal matters. We act more like a business unit than an outside legal firm. We offer a cost effective solution for growing companies in need of a legal department. Companies benefit from having access to a range of legal professionals without the overhead of hiring full time employees for each position. What We Do: Everything an in-house counsel would do for your company, including but not limited to: * Contract drafting and negotiation (for customers and vendors) * Corporate Governance * Data Privacy * HR matters * Intellectual property matters (not including patents) * Open Source * Compliance Matters * Fundraising * Due Diligence * Legal Policies and Procedures * Tax matters * Manage outside counsel Why We Are Different: We take companies at any stage of development and provide services in a way that fits their needs. >> Stage 1 Companies - MVP Stage * 2-3% equity stake in exchange for a legal “tab” * On this “tab” we complete work with the promise of paying off the legal tab as outlined in Stage 2 and Stage 3. >> Stage 2 Companies - Seed Stage * For previously Stage 1 Co's: An agreed upon a monthly legal budget is set up to be paid monthly. * For New Clients: 1.5-2.5% equity stake in exchange a legal “tab” and agreeing upon a monthly budget to be paid monthly. * All additional work requested, not covered by the legal budget, is added to the running tab. >> Stage 3 Companies - Series A * For previously Stage 2 Cos: Once a company has raised between 5-10+ million dollars they are required to pay off the tab. Any work done moving forward is completed and paid for using standard monthly invoicing. * For New Clients: We take no equity in the company and work is completed and paid for using standard monthly invoicing.
