Structure, review, draft and negotiate various vendor agreements including merchandising contracts, equipment leases, services contracts, race car sponsorships, corporate events, telecommunications, security, and media events; technology agreements regarding software platforms, software as a service, and hardware storage in order to support store operations; licensing agreements for software, music, and gaming operations. Responsible for coordinating the applications for gaming licenses and resolving landlord response issues. Research of UCC issues and corporate structure issues. Negotiate reduction of penalties for pricing errors assessed by weight and measure departments of various state governments, and advise store managers of the ramifications of not correcting such errors. Provide clients with solutions to breach of contract events and assist with negotiating resolutions of same.

Responsible for supporting the sales teams for multiple business units by providing quality and timely software licensing contracts in order to close deals quickly and maintain satisfied clients. Negotiated, drafted and reviewed various software licensing agreements including master agreements, joint development agreements, amendments, assignments, assumptions, and consulting agreements. Charged with minimizing company risk by ensuring that all contracts contain provisions that adequately protect the company such as limitation of liability and indemnity provisions. Advised Sales of financial and accounting issues, including revenue recognition issues in advance of accounting review in order to quicken the contract process. Also responsible for copyright enforcement matters, advising on open source code matters, and managing the source code escrow program. In addition, I drafted and negotiated confidentiality agreements; business associate agreements, as required by HIPAA; and independent contractor agreements. I worked closely with business unit and sales attorneys, sales, and management to help safeguard company information while complying with applicable laws, regulations, and internal corporate policies. I coordinate in-house responses to infringement and utilize outside counsel when necessary. Informally mentored and trained new employees to enable them to perform their roles as quickly as possible.

Primarily responsible for supporting the Chapter 13 Trustee in maintaining the integrity of the bankruptcy system and by working to preserve creditor's rights through i) challenging, via legal briefs, debtor's motions regarding rights to exemptions and disposable income; ii) seeking requests for production of documents and answers to interrogatories; and iii) asserting objections to claims and objections to confirmation. Enforced the Trustee's mandate to stop repetitive, bad faith filers by drafting complaints that sought to enjoin such filers. Conducted depositions of debtors pursuant to Section 341 of the Bankruptcy Code.

Purchased $200 million of diagnostic film per year for over 30 distribution centers and maintained low inventory levels while meeting customer demand. Reviewed and approved purchase plans, executed purchase orders, and communicated with vendors to ensure timely delivery of film products.

Responsible for managing a portfolio of companies in bankruptcy and ensuring that Gulf South was adequately protected to (i) continue to do business with such companies post-bankruptcy and (ii) that its interests in the bankruptcy estate were preserved.
