Partner with C-suite, Business Development, Information Security, Finance, and Human Resources to influence decision making on issues involving legal/contractual compliance; report to VP of Legal. Support sales and procurement teams through expedited contract closings, limiting liability, and controlling risks during contracting process. Negotiate sale of legal support services, including law department consulting, e-discovery, intellectual property services, secondment, and legal outsourcing services. Advise on privacy, export compliance, data security, and general legal compliance. Conduct wide range of legal research in areas of employment, finance, insurance, and contract law within all company operational jurisdictions. Research and advise on laws applicable to clients, as well as civil rules of procedure pertaining to discovery.Review and negotiate contracts, advise on legal strategy and legal disputes, conduct in-house investigations, place legal holds, and write/advise on policies and legal matters, setting tones for relationships. Negotiate purchase of services and goods for UnitedLex, including software, software as a service (SaaS), and other technology agreements. Provide support in lease negotiations and dispute settlements. Assist with due diligence for potential multi-million-dollar acquisitions. Negotiate co-marketing agreements, strategic alliances, and partnerships. Provide guidance and participate in strategic decision making in scenarios of legal affairs and operational overlap.Negotiate and draft language for intellectual property contracts for domestic and international clients. Advise on GDPR, US privacy laws (such as CPRA), and impact of CLOUD Act. Conduct first pass reviews of security terms and work with IS team to ensure internal security measures match client requests, as well as products used and vendors engaged employ sufficient and relevant safeguards. Support fact finding and document review for litigation purposes.
