Shareholder
As a founding shareholder of Saltzman Mugan Dushoff, I managed corporate/transactional, M&A, regulatory, licensing, employment, and litigation matters. I regularly assisted technology companies in negotiating commercial transactions with their partners and outside vendors. I acted as outside general counsel for an aviation/technology startup, which included the drafting of various contracts (e.g. non-disclosure agreements, executive employment agreements, vendor agreements, SaaS agreements, MOU’s, and commercial leases), protecting the company's intellectual property rights, advising on corporate governance issues, ensuring compliance with state and federal employment laws, and managing litigation matters. I also have substantial experience counseling companies in the cryptocurrency space, including issuers of stablecoins and custodians of fiat currency backing stablecoins. In addition, I managed the firm's employment law practice and routinely defended employers who were facing employee claims under the FLSA, Title VII, and other state and federal laws. I assisted clients in maintaining compliance with all applicable rules and regulations, with a special focus on assisting California businesses who were moving into new markets or relocating completely. I blogged about recent developments in Nevada employment law at https://www.nvemploymentlaw.com. Prior to forming SMD, our founding members worked together as Shareholders at Kolesar & Leatham, which was one of the largest independent law firms in Nevada.

After relocating to the West Coast and passing the California bar exam, I joined the law firm of Geary Shea O'Donnell Gratton & Mitchel, one of the oldest and most respected boutique law firms in Sonoma County, California. My largest matter was representing the City of Ukiah in a $16m contract dispute with the Ukiah Valley Sanitation District concerning accounting and management issues spanning a time period of approximately sixty years.
Associate
I worked with clients in the tech industry concerning issues surrounding quant trading such as protection of intellectual property, trade secrets, ownership of employee inventions, and confidentiality. Specifically, I assisted software/algorithm developers in drafting agreements that would protect their interests and also allow them to have the flexibility to either change business partners or license products to multiple parties. In addition, I managed a large docket of commercial litigation matters in the financial services sector, including the representation of private equity funds, portfolio companies, investment fund managers, and brokers. I routinely acted as first chair trial counsel and appeared in New York Supreme Court and the Appellate Division - First Judicial Department on a regular basis.
In-House Counsel
I managed a caseload of 200 matters through every stage of litigation. Some of my key responsibilities included answering complaints, drafting motions, discovery, court appearances, and settlement negotiations. I sat first chair on twelve civil trials and have extensive experience arguing motions in New York, Kings, and Bronx Counties. In addition, I drafted appellate briefs and and argued cases in appeals court in order to overturn verdicts that were detrimental to corporate interests. I also assisted in developing policies and procedures for the Claims Department in order to assist them in handling lawsuits prior to referring them to Staff Counsel.
Associate
I conducted interviews for internal investigations, prepared clients for depositions, drafted briefs, conducted legal research, and drafted memoranda for internal and external distribution. I also gained substantial experience with large scale case management and electronic discovery issues.
