Orchard Supply Hardware operated neighborhood hardware and garden stores focused on paint, repair and the backyard. Orchard Supply Hardware was acquired out of bankruptcy by Lowe's Companies in August 2013 and the General Counsel position at Orchard Supply Hardware was eliminated in December 2014. In 2018, Lowe's closed the store chain.• Responsible for legal affairs of the stand-alone Orchard Supply Hardware business. • Led Orchard's legal matters related to going public in December 2011 via a spin off from Sears Corporation.• As a public company, was responsible for all legal affairs, including general corporate matters, securities law compliance (including SOX compliance), real estate matters, including leasing and sale-leaseback transactions, vendor contracts, employment law matters, trademark and other IP matters, and litigation oversight. • As a public company, was corporate secretary and responsible for corporate governance matters.• As a public company, was responsible for legal matters related to Orchard's $130 million senior secured term loan and $127.5 million senior secured credit facility and the attempts to amend and refinance this debt during 2012.• Reviewed and negotiated documentation and provided legal advice for various commercial transactions, including technology transactions such as software and technology license agreements, software as a service agreements, master service agreements and digital marketing, promotion, and advertising agreements.• Oversaw real estate asset management department.• Oversaw risk management department, including safety and environmental compliance.• Oversaw Orchard's insurance program.• Led Orchard's legal matters related to restructuring, including a Chapter 11 bankruptcy filing in June 2013.

Jamba, Inc. (NASDAQ:JMBA) was a holding company and through its wholly-owned subsidiary, Jamba Juice Company, owned and franchised JAMBA JUICE smoothie and juice stores. In 2019, Jamba Juice was acquired by Focus Brands.• Led Jamba's legal matters related to going public in November 2006 via a reverse merger with a "special purpose acquisition company" (SPAC). • Was responsible for all legal affairs, including general corporate matters, securities law compliance (including SOX compliance), franchising, vendor contracts, real estate leases, employment law matters, trademark and other IP matters, FDA and advertising matters, and litigation oversight. • Was responsible for corporate governance matters and was chief compliance officer. • Oversaw Risk Management Department (including leading crisis management team and managing company insurance program).• Led the acquisition of over 40 Jamba Juice stores from franchisees in 2007 and subsequent refranchising program in 2009-2011 involving the sale of over 150 company-owned stores to franchisees. • Structured and negotiated product license agreements to expand Jamba brand into various consumer products categories.

Sony Signatures was a "start up" in 1993 that grew so that at the time SCA sold Sony Signatures in June 1999, it had approximately 120 employees and annual revenues in excess of $120 million.• Organized and oversaw Business and Legal Affairs Department; hired, trained, and supervised 7 employees.• Business and contract negotiations and documentation for music, film and television, and entertainment property acquisition. Examples include consummating license and agency agreements for The Beatles, Madonna, KISS, Barbra Streisand, World Cup '98, Godzilla, Ripley's Believe it or Not!, Berenstain Bears, and scores of others.• Negotiated and documented license agreements for third party companies interested in using the trademarks, copyrights, images, and services of these properties on or in connections with their products or services.
