Contracts/Licensing Royalty Administration 2/13 - PresentMy primary responsibilities are to ensure consistent management of all proposals, Licenses and Contracts. This includes oversight of the contract management process, as well as development of specific standards for documentation management. Develop and implement procedures for contract database management and administration in compliance with company policy. Creation and maintenance of various contracts : including, Drafting, Evaluation, Negotiation and Execution: Non-Disclosure Agreements, Sub-contracts, Consulting Agreements, Licensing Agreements, Propagation Agreements, Non-Propagation Agreements, Root and Sell Agreements, Deferred Royalty Agreements, review of customer proposed terms and conditions. Serve as the point of contact for licensees on contractual matters. Act as contractual “middleman” between company employees and licensees, ensuring timely review and approval / reconciliation of variations. On all standard and nonstandard contracts, provide redlined recommendations and often negotiate directly with customer attorneys or staff until consensus has been reached. Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all. As appropriate, contribute to or influence company policies. Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation. Monitor transaction compliance (propagation, royalty reporting, invoicing etc.) Ensure contract close-out, extension or renewal.
