1. Contracts and Legal Documents• Building the templates, forms applicable to simple contracts that frequently arise during the company’s business.• Drafting, reviewing contracts, agreements, legal documents (in both English and Vietnamese) arising from: - Daily business activities: Distribution Agreement, Lease Agreement, Construction Agreement, Commercial Sale/Service Agreement, License Agreement, etc. - Internal operation: Minutes of Meeting, Decision, Shareholder Register, Power Of Attorney, Charter, etc. - M&A Transactions and investment activities: Master Franchise Agreement, Joint Venter Agreement, Business Cooperation Contract, Loan Agreement, Shareholder Agreement, etc.• Negotiating directly with clients, partners with on contractual and legal matters.2. Legal Advisory• Conducting comprehensive legal research.• Providing consultancy on all legal matters related to business and investment activities to mitigate legal risks and protect the company’s interests.• Engaging directly with foreign clients, collaborating managers, subsidiaries.• Dealing with complex matters, researching and anticipating unique legal issues that could impact company.3. Litigation (Primarily in civil and administrative cases regarding land acquisition and compensation with the company as a litigant having the related interests and obligations)• Representing the company in legal proceedings at the court.• Researching the relevant law, including the laws, decrees, resolutions, precedent, judgment, etc.• Analyzing each litigation case and offering the valuable insight.• Drafting relevant documents such as petitions, declarations and appeals.4. Licensing • Carrying out the legal procedure relating to ERC such as enterprise establishment, registry of change (change of head office, legal representative, etc) and dissolution.• Carrying out the legal procedure relating to IRC: approval of the foreign investor purchasing capital contribution.
