In representing clients in transactional and corporate matters, Peter Schaeffer has experience in the full range of issues faced by public and private companies. His transactional practice focus is in the areas of private equity, venture capital and mergers and acquisitions. His practice also includes ongoing representation of publicly traded corporations and privately held companies, including advice in regard to disclosure and compliance under the Securities Act of 1933 and the Securities Exchange Act of 1934. Mr. Schaeffer advises private equity and venture investors in their investments and regularly represents strategic operating companies in their acquisitions and dispositions. He also represents early stage companies on formation issues, equity and compensation matters, licensing and in their venture capital and other financings. Mr. Schaeffer has represented several companies in their initial public offerings as well as in secondary offerings, PIPES, joint ventures and in the establishment of credit facilities.
