Responsible for protecting the company’s legal interest and maintaining its operations within the scope established by law. Responsibilities include: Create and coordinate legal strategy with company officers and outside counsel, monitor status of pending and threatened litigation, state and federal regulatory environment of industry and other legal matters, and update senior management and Board of Directors as to same. Oversee compliance with applicable state and federal laws and regulations, including laws governing the highly regulated consumer financial services industry; state specific lending and usury laws; consumer protection laws; employment laws; federal Fair Debt Collection Practices Act; federal Gramm-Leach-Bliley Act; federal anti-money laundering laws (Patriot Act and Bank Secrecy Act); and the federal Truth In Lending Act (Reg. Z). Draft, review and negotiate a wide range of contracts, including software licensing agreements; employment contracts; confidentiality agreements; lease agreements; and vendor contracts. Provide legal support for the development of new products and services. Responsible for overseeing all regulatory compliance issues, including responding to state and federal agency investigations and compliance exams and maintaining a positive and productive relationship with all regulatory agencies via consistent communication. Responsible for and coordinate all licensing matters. Assist with government relations initiative and lobbyist activities, drafting state legislation, coordinating grassroots campaign. Serve as primary contact for all media inquiries. Manage real estate issues. Provide general corporate and business legal advice to senior management; collaborate in development of new products. Conduct acquisitions and sales of retail stores and assets. Coordinate and direct outside counsel. Supervise Legal Department. Executive duties/responsibilities include:• Oversee day-to-day operations of company, including management and coordination of departmental activities, review and authorization of expenditures, hiring and termination of employees and approval of compensation programs.• Establish and maintain vendor and third party relationships including the negotiation of third party contracts and resolution of contract disputes.• Develop and implement overall corporate strategy; participate in annual budget process and tracking of performance; and responsible for new product development and implementation. In addition, conduct weekly Senior Management meetings to effectuate company goals in a timely manner. • Serve on the Board of Managers for company and all operating subsidiaries; report company performance to and communicate with Board of Directors and parent company officers and participate in monthly senior management meetings.

Coordinate and supervise commercial real estate closings, including acquisitions, mergers, mortgage financing, refinancings and sale-leasebacks. Draft, review and negotiate commercial real estate contracts and related documents, including commercial leases, easements, financing instruments and other related loan documentation. Coordinate, review and supervise production of all due diligence associated with commercial real estate closings. Coordinate and review title and survey matters and provide legal advice regarding the same. Review environmental site assessments and coordinate with environmental consultants regarding any environmental issues and/or necessary remediation. Handle all legal entity related matters, including entity formation, liquidation and dissolution, as well as drafting corporate resolutions, partnership consents and members’ consents. Coordination of legal services with other company departments, including Tax, Reimbursement, Development and Mortgage Finance. Respond to and provide legal assistance to corporate and facility personnel on all real estate, corporate and transactional matters. Coordinate and manage outside legal counsel, as well as negotiate, track and review fees for services for outside legal counsel and other service providers. Coordinate and supervise legal assistants and staff members.

General litigation in both Georgia and Tennessee, including insurance defense, workers’ compensation and insurance subrogation collection cases.

Handled all aspects of employment and labor law litigation including representing management in employment discrimination matters, sexual harassment claims, wage and hour disputes, and governmental regulatory matters. Handled general corporate and business matters, including advising clients on formation of legal entities. Represented client positions in commercial lease negotiations. Drafted and closed a variety of asset purchase agreements. Drafted and reviewed employment separation and release agreements. Additional areas of concentration included avoidance of potential legal difficulties by creation and implementation of personnel policy manuals and employee handbooks as well as developing and presenting management education and substance abuse programs.

Served as the Judicial Law Clerk to the Honorable William F. Grant and the Honorable George H. Bryant. Responsibilities included drafting orders; researching various legal issues, including real estate title and contract disputes and general corporate matters; advising Judges of applicable laws; and preparing legal memoranda and briefs.
